解析在美国注册公司的类型
美国企业：（business enterprises）按组织形式分为两大类，即公司（corporation）与非公司型企业（unincorporated business enterprises）。
美国公司：分为闭锁公司（close corporation）和公众公司（public corporation）。
非公司型企业：分为独资企业（sole proprietorship）、合伙（partnership）和有限责任公司（limited liability company, LLC）。
合伙公司：分为普通合伙（general partnership, GP）、有限合伙（limited partnership, LP）、有限责任合伙（limited liability partnership, LLP）和有限责任有限合伙（limited liability limited partnership, LLLP）。

有限责任公司在全美国只有二十来年的历史。1977年，怀俄明州在参考、借鉴欧洲有限责任公司法的基础上，第一个颁布了有限责任公司法，紧随其后的是弗罗里达州。但此后十来年的时间里有限责任公司的立法处于停顿状态。主要原因是有限责任公司能否享受合伙型企业的税收待遇尚不明确。1988年美国国税局internal revenue service对有限责任公司免税的条件作了十分宽松的解释，使一般有限责任公司事实上都能享有免税待遇。这一裁决产生了巨大的反响，成了各州迅速进行有限责任公司立法的强大的推动力量。
